Item 5.07 Submission of Matters to a Vote of Security Holders.

Gray Television, Inc. (the “Company”) held its annual meeting of shareholders on May 30, 2012. At the meeting, each of the director nominees was elected to hold office until the Company’s next annual meeting of shareholders and until their successors have been duly elected and qualified. In addition, the amendments to the Company’s 2007 Long Term Incentive Plan were approved and the appointment of McGladrey & Pullen, LLP as the Company’s independent registered public accounting firm for 2012 was ratified.
